These Terms and Conditions (the “Terms”) govern access to and use of the Royal Peptide Labs website, products, services, order process, customer communications, and related business activities. By accessing the website, placing an order, creating an account, submitting payment, accepting delivery, or otherwise interacting with Royal Peptide Labs LLC (“Royal Peptide Labs,” “RPL,” “Company,” “we,” “us,” or “our”), the customer, purchaser, user, or visitor (“Customer,” “you,” or “your”) agrees to be bound by these Terms.

These Terms are intended to establish clear customer expectations, reduce misunderstandings, support responsible use of research materials, prevent unauthorized transactions, and provide payment processors and underwriting reviewers with evidence that the Company maintains written customer-facing policies governing order acceptance, refunds, shipping, compliance, prohibited use, risk allocation, and dispute resolution.

1. Acceptance of Terms and Binding Agreement

By using the Royal Peptide Labs website or purchasing products from the Company, you acknowledge that you have read, understood, and agreed to these Terms, together with any posted Privacy Policy, Refund Policy, Shipping Policy, Research Use Only disclosures, checkout acknowledgments, product warnings, invoices, order confirmations, and any other customer-facing policy incorporated by reference.

If you do not agree to these Terms, you must not access the website, purchase products, submit payment, or use any Company services. The Company may decline or cancel orders, suspend access, refuse service, or terminate customer relationships where the Company determines that a customer has violated these Terms, provided inaccurate information, attempted unauthorized use of products, engaged in fraud, created chargeback risk, or otherwise presented unacceptable compliance, legal, operational, or reputational risk.

The customer agrees that each order placed with Royal Peptide Labs constitutes a separate representation that the customer remains eligible to purchase, possess, receive, handle, store, and use the products for lawful laboratory research purposes only.

2. Research Use Only Policy

All products offered by Royal Peptide Labs are sold strictly for laboratory research purposes only. Products are not intended for human consumption, animal consumption, veterinary use, therapeutic use, diagnostic use, cosmetic use, medical treatment, clinical use, household use, recreational use, compounding, resale for unauthorized use, or any other purpose inconsistent with the Research Use Only (“RUO”) designation.

By purchasing from Royal Peptide Labs, you represent and warrant that you understand the RUO nature of the products, that you will not use the products for any prohibited purpose, and that you have the knowledge, facilities, equipment, training, and legal authority necessary to safely handle research materials. The Company does not verify the scientific validity of a customer’s intended research and does not authorize any use outside the RUO framework.

The customer agrees that products are not food, drugs, dietary supplements, cosmetics, medical devices, biologics, controlled substances, or therapeutic agents offered by the Company. Any customer who requests instructions, dosing information, human-use guidance, veterinary-use guidance, medical advice, health outcomes, treatment protocols, or similar prohibited information may have the order declined, cancelled, or refunded at the Company’s discretion.

3. Age, Eligibility, and Customer Representations

Customers must be at least twenty-one (21) years of age to access the website, place an order, or purchase products. By placing an order, the customer represents that the customer is at least 21 years old, legally competent to enter into binding agreements, not prohibited from purchasing research materials, and not acting on behalf of any minor or unauthorized party.

The customer further represents and warrants that all information provided to Royal Peptide Labs is true, accurate, current, and complete; that the customer is using a valid payment method authorized for the transaction; that the customer will not request or use products for any unauthorized purpose; and that the customer will comply with all applicable laws, regulations, institutional policies, laboratory safety practices, and import/export restrictions.

Royal Peptide Labs may request additional information to verify age, identity, billing details, shipping details, order legitimacy, or compliance with these Terms. Failure or refusal to provide requested verification may result in order cancellation, account restriction, or refusal of service.

4. Customer Responsibility for Legal Compliance

The customer is solely responsible for determining whether products may be lawfully purchased, received, possessed, imported, stored, handled, transferred, or used within the customer’s jurisdiction. Laws and regulations may vary by country, state, province, municipality, institution, and research environment. Royal Peptide Labs does not provide legal advice and does not represent that any product is lawful for any customer’s specific location or intended use.

Customers are responsible for obtaining any licenses, permits, approvals, registrations, institutional permissions, laboratory authorizations, import permissions, customs clearances, or other approvals required by applicable law or organizational policy. The Company may refuse or cancel orders where it reasonably believes that fulfillment may violate applicable law, create regulatory concerns, or present unacceptable underwriting, shipping, reputational, compliance, or operational risk.

If a shipment is delayed, detained, rejected, seized, returned, destroyed, or otherwise affected by customs authorities, governmental agencies, carriers, institutional mailrooms, or other third parties due to customer location, customer conduct, incomplete information, or jurisdictional restrictions, Royal Peptide Labs is not responsible for resulting losses except where required by law or expressly agreed in writing.

5. No Medical Advice, No Health Claims, and No Professional Reliance

Information on the website, product pages, labels, marketing materials, customer communications, educational materials, certificates, or any other Company materials is provided for general informational and research-context purposes only. Such information does not constitute medical advice, veterinary advice, diagnostic guidance, treatment guidance, dosing guidance, health advice, safety advice for human or animal use, or professional scientific consulting.

Royal Peptide Labs makes no claims that any product is safe, effective, suitable, approved, tested, intended, or authorized for use in or on humans or animals. No statement by the Company should be interpreted as recommending, endorsing, or instructing any therapeutic, diagnostic, cosmetic, performance-enhancement, wellness, weight-loss, anti-aging, clinical, or veterinary use.

Customers should not rely on Company materials as a substitute for independent scientific judgment, legal advice, regulatory guidance, institutional review, or laboratory safety review. Any customer seeking medical, veterinary, health, or treatment information should consult an appropriately licensed professional and should not purchase or use Royal Peptide Labs products for that purpose.

6. Prohibited Uses and Prohibited Conduct

Customers may not use, resell, transfer, advertise, recommend, distribute, compound, administer, ingest, inject, apply, prescribe, dispense, repackage, relabel, or otherwise handle Company products in a manner inconsistent with the Research Use Only designation or applicable law.

Prohibited conduct includes providing false order information; using another person’s payment method without authorization; engaging in chargeback abuse; requesting medical or dosing advice; attempting to evade verification; using freight forwarders or reshippers without authorization; purchasing for minors; purchasing for human or animal use; using the website for unlawful purposes; scraping or copying content; interfering with website security; or attempting to damage the Company’s operations, reputation, payment processing, or vendor relationships.

Royal Peptide Labs may cancel orders, refuse service, block accounts, report suspected fraud, preserve records, provide information to payment processors or law enforcement when appropriate, and pursue available remedies where prohibited conduct is identified.

7. Product Information, Descriptions, and Availability

Royal Peptide Labs makes reasonable efforts to provide accurate product names, descriptions, concentrations, quantities, pricing, images, lot information, and related product information. However, product information may contain typographical errors, formatting errors, omissions, outdated information, or availability changes. The Company reserves the right to correct errors, modify product listings, update pricing, change availability, discontinue products, limit quantities, or cancel orders affected by errors or operational constraints.

Product images are for general identification and presentation purposes only and may not reflect every label update, packaging change, batch variation, or supplier documentation format. Certificates of Analysis, testing documentation, and batch records may vary by product, lot, supplier, or testing provider. The customer is responsible for reviewing product information and asking questions prior to purchase.

The availability of a product on the website does not guarantee that the product is in stock, approved for shipment to every jurisdiction, or suitable for the customer’s intended research. The Company may hold an order for additional review if inventory, documentation, verification, payment, shipping, fraud, or compliance concerns arise.

8. Certificates of Analysis, Testing, and Quality Documentation

Where available, Royal Peptide Labs may provide or reference Certificates of Analysis, third-party testing documentation, supplier documentation, or internal quality records associated with certain products or lots. Such documentation is provided to support quality transparency for research customers and underwriting reviewers, but it does not convert the products into pharmaceuticals, medical products, diagnostic products, or products approved for human or animal use.

Testing documentation is not a warranty of fitness for any particular use, nor does it constitute a guarantee of performance in any customer’s specific research environment. Customers remain responsible for independently evaluating whether a product is appropriate for their lawful research application and for maintaining proper laboratory handling, storage, and safety procedures.

Quality concerns must be reported promptly and must include order number, product name, lot number if available, photographs where applicable, description of the issue, delivery condition, storage condition, and any other information reasonably requested by the Company.

9. Orders, Order Review, and Acceptance

All orders are subject to acceptance by Royal Peptide Labs. Submission of an order does not guarantee acceptance, processing, or shipment. The Company reserves the right to review, delay, decline, cancel, or refund any order for reasons including suspected fraud, payment risk, incomplete information, compliance concerns, product unavailability, shipping restrictions, pricing errors, website errors, suspicious order patterns, chargeback history, prohibited-use indicators, or any other business or risk-management reason.

Order acceptance occurs only when the Company determines that payment, inventory, customer information, compliance review, and shipping review are satisfactory and the order is released for fulfillment. Automated order confirmations, payment authorizations, or website receipts do not constitute final acceptance where further review is required.

The Company may impose quantity limits, require signature delivery, require additional verification, ship orders in multiple packages, modify shipping methods, hold orders pending clarification, or cancel orders that cannot be safely or responsibly fulfilled.

10. Payment Terms and Payment Processing

Payment must be received and authorized before shipment unless the Company expressly agrees otherwise in writing. Customers agree to provide current, complete, and accurate billing information and to maintain authorization for the payment method used. The customer represents that the customer is authorized to use the selected payment method and that the transaction is not fraudulent, unauthorized, disputed in bad faith, or intended to bypass payment obligations.

Payment transactions may be processed by third-party payment processors, acquiring banks, payment gateways, fraud-screening vendors, or related service providers. Royal Peptide Labs does not store complete payment-card numbers on its own servers where payment processing is handled by third-party processors. Payment information may be subject to the privacy, security, and processing terms of the applicable payment provider.

Orders may be declined or cancelled if payment authorization fails, if fraud indicators are detected, if the billing and shipping information cannot be verified, if the payment method is restricted, or if the transaction presents unacceptable risk. The Company may retain transaction records as necessary for accounting, dispute response, fraud prevention, processor reporting, and legal compliance.

11. Pricing, Taxes, Promotions, and Errors

Prices are listed in the currency displayed at checkout and may change without notice. Royal Peptide Labs reserves the right to modify pricing, correct typographical errors, correct product or shipping charges, change promotional offers, limit promotional eligibility, or cancel orders affected by pricing or availability errors.

The customer is responsible for any applicable taxes, duties, customs fees, brokerage fees, import fees, carrier fees, governmental charges, or other amounts imposed in connection with the purchase, shipment, possession, or receipt of products. The Company may collect estimated taxes where required, but the customer remains responsible for compliance with tax and import obligations applicable to the customer’s jurisdiction.

Promotional codes, discounts, loyalty offers, or special pricing may be modified, limited, discontinued, rejected, or revoked at any time. Promotional offers may not be combined unless expressly permitted and may not be used for fraudulent, abusive, reseller, or unauthorized purposes.

12. Shipping, Delivery, Risk of Loss, and Carrier Issues

Shipping timelines are estimates only and are not guaranteed unless expressly stated in writing by the Company. Royal Peptide Labs is not responsible for delays caused by carriers, weather, address errors, payment review, fraud review, compliance review, inventory review, holidays, customs, governmental actions, labor disruptions, security events, natural disasters, force majeure events, or circumstances outside the Company’s reasonable control.

Customers are responsible for providing a complete, accurate, and deliverable shipping address. The Company is not responsible for delays, losses, returns, misdeliveries, or additional charges caused by incorrect, incomplete, inaccessible, restricted, or undeliverable addresses. Orders may require tracking, delivery confirmation, signature confirmation, or other shipping controls where appropriate.

Risk of loss may transfer to the customer upon delivery to the shipping address or upon carrier confirmation of delivery, subject to applicable law and any written policy posted by the Company. If a package is marked delivered but not received, the customer must promptly contact the carrier and Royal Peptide Labs so that the matter can be reviewed. The Company may require documentation, photographs, carrier claim information, or written statements before considering replacement or refund options.

13. Returns, Refunds, Damaged Shipments, and Order Errors

Due to the sensitive nature of research materials, product integrity considerations, storage requirements, chain-of-custody concerns, and compliance controls, all sales are final unless the Company determines that a return, replacement, credit, or refund is appropriate under these Terms or required by applicable law.

Claims for products received damaged, incorrect, missing, compromised, or materially inconsistent with the order must be submitted within seven (7) calendar days of delivery unless applicable law requires a longer period. Claims should include the order number, product name, photographs of the package and product, description of the issue, delivery date, and any other evidence reasonably requested by the Company.

Returns must not be sent back without prior written authorization. Unauthorized returns may be refused, discarded, quarantined, or returned to sender. If a return is approved, the Company may provide specific instructions regarding packaging, shipping method, documentation, and timing. Refunds, credits, and replacements are issued at the Company’s discretion after review, subject to payment-processor rules, fraud controls, and applicable law.

14. Chargebacks, Payment Disputes, and Good-Faith Resolution

Royal Peptide Labs maintains customer service and dispute-resolution procedures intended to address customer concerns before they become payment disputes. Customers agree to contact the Company directly and provide a reasonable opportunity to investigate and resolve order concerns before initiating a chargeback, payment reversal, bank dispute, or processor complaint.

The customer agrees not to initiate false, misleading, abusive, duplicate, or bad-faith chargebacks. Where a chargeback is initiated, the Company may provide the payment processor, bank, card network, fraud-screening provider, or dispute-resolution service with relevant records, including order confirmations, checkout acknowledgments, payment information, IP address logs, shipping records, customer communications, policy disclosures, tracking information, and evidence of delivery.

Chargeback activity may result in account review, order restrictions, cancellation of pending orders, refusal of future service, collection efforts, or other remedies available to the Company. Nothing in this section limits any consumer rights that cannot be waived under applicable law.

15. Fraud Prevention, Verification, and Refusal of Service

The Company reserves the right to use manual review, automated screening, payment-processor tools, address verification, IP review, order-history review, fraud indicators, identity verification, customer communication, and other reasonable measures to identify and reduce fraud, unauthorized transactions, prohibited use, and chargeback risk.

Orders may be delayed, cancelled, refunded, or declined where indicators include mismatched billing and shipping information, high-risk payment behavior, repeated failed payment attempts, unusual order quantities, suspicious email or phone information, reshipping patterns, inconsistent customer statements, refusal to provide verification, prior disputes, or other risk indicators.

Royal Peptide Labs may refuse service to any customer where the Company determines that doing business with the customer would create unacceptable compliance, legal, fraud, reputational, safety, payment, underwriting, or operational risk.

16. Account Registration and Website Access

If the website permits account creation, customers are responsible for maintaining the confidentiality of login credentials and for all activity occurring under their account. Customers must immediately notify the Company of suspected unauthorized account access, unauthorized transactions, or security concerns.

The Company may suspend, restrict, or terminate account access for suspected violations of these Terms, fraud, chargeback abuse, unauthorized use, prohibited product inquiries, security concerns, abusive communications, or other conduct that presents risk to the Company, customers, processors, vendors, or third parties.

Website access is provided on an “as available” basis. The Company does not guarantee uninterrupted access, error-free operation, compatibility with all devices, or continuous availability of any website function.

17. Customer Communications, Notices, and Electronic Records

By placing an order or communicating with Royal Peptide Labs, customers consent to receive transactional communications by email, telephone, text message where applicable, website notice, account notice, or other reasonable method. Transactional communications may include order confirmations, shipping notices, verification requests, customer-service responses, policy notices, refund updates, and dispute-related communications.

Customers agree that electronic communications, acknowledgments, checkout records, policies, notices, invoices, receipts, and signatures may satisfy written-document requirements to the fullest extent permitted by law. Customers are responsible for maintaining accurate contact information and monitoring communications related to their orders.

Marketing communications, if any, will be handled in accordance with applicable law and the Company’s Privacy Policy. Customers may request removal from promotional email lists where required by law, but transactional messages necessary to process orders or respond to inquiries may still be sent.

18. Intellectual Property and Website Content

All website content, trademarks, trade names, logos, graphics, product descriptions, images, formatting, design elements, text, policies, labels, documentation, and other materials made available by Royal Peptide Labs are owned by or licensed to the Company and are protected by applicable intellectual property laws.

Customers may not copy, reproduce, modify, distribute, scrape, mirror, frame, publish, transmit, reverse engineer, exploit, or use Company content for commercial purposes without prior written permission. Unauthorized use of Company intellectual property may result in access restrictions, legal action, and other remedies.

Customers may not use Company branding, product names, product images, or content in a manner that suggests endorsement, resale authorization, human-use claims, medical claims, or affiliation without written authorization from the Company.

19. Third-Party Links, Services, Carriers, and Providers

The website or order process may involve third-party services, including payment processors, payment gateways, fraud-screening tools, shipping carriers, analytics providers, email providers, hosting providers, website platforms, and other service providers. These third parties may have their own terms, policies, availability standards, security measures, and limitations.

Royal Peptide Labs is not responsible for the content, privacy practices, security practices, downtime, delays, errors, losses, or acts or omissions of third-party websites or providers except to the extent required by law. Customers should review applicable third-party terms and privacy policies where relevant.

The Company may share information with service providers as reasonably necessary to process orders, prevent fraud, provide customer service, fulfill shipments, maintain records, comply with legal obligations, and protect the Company’s rights and operations.

20. Privacy and Data Protection

Customer information is collected, used, stored, and shared in accordance with the Company’s Privacy Policy. By using the website or placing an order, the customer acknowledges that certain personal information may be collected and processed for order fulfillment, payment processing, fraud prevention, customer support, legal compliance, analytics, record retention, and business operations.

The Company may maintain records of orders, communications, payment-related information, shipping information, policy acknowledgments, IP addresses, fraud-screening results, and dispute records as reasonably necessary for business, accounting, underwriting, compliance, and legal purposes.

Customers should review the Privacy Policy for additional information regarding categories of information collected, use of information, service-provider sharing, data retention, cookies, security measures, and customer rights.

21. Disclaimer of Warranties

To the fullest extent permitted by applicable law, products, website access, information, documents, and services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise. Royal Peptide Labs disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, uninterrupted operation, compatibility, and suitability for any customer’s specific research application.

The Company does not warrant that products will meet any particular research expectation, produce any specific result, be suitable for any particular protocol, or be free from all defects except as expressly stated in writing. Any quality documentation provided is for research-material transparency and does not create any warranty beyond the specific statements made in that documentation.

Some jurisdictions do not allow limitations on implied warranties, so some limitations may not apply to certain customers. In such cases, warranties are limited to the minimum extent required by applicable law.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Royal Peptide Labs, its owners, managers, officers, employees, contractors, vendors, suppliers, affiliates, service providers, and representatives shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, enhanced, or similar damages, including lost profits, lost revenue, lost data, laboratory losses, business interruption, reputational harm, procurement costs, regulatory consequences, customer misuse, or third-party claims, whether arising in contract, tort, negligence, strict liability, statute, or otherwise.

To the fullest extent permitted by law, the Company’s total liability arising from or relating to any product, order, website use, customer communication, shipment, refund, dispute, or these Terms shall not exceed the amount actually paid by the customer to Royal Peptide Labs for the specific product or order giving rise to the claim.

The limitations in this section are material terms of the transaction and apply even if any limited remedy fails of its essential purpose, except where prohibited by law.

23. Indemnification

The customer agrees to defend, indemnify, and hold harmless Royal Peptide Labs, its owners, managers, officers, employees, contractors, vendors, suppliers, affiliates, payment processors, service providers, and representatives from and against any claims, damages, losses, liabilities, penalties, fines, costs, expenses, investigations, disputes, chargebacks, legal fees, or demands arising from or relating to: customer breach of these Terms; product misuse; unauthorized use; violation of law; false representations; fraud; negligent handling; improper storage; unauthorized resale; prohibited human or animal use; customer research activities; regulatory violations; customs or import issues; intellectual property misuse; or disputes involving third parties.

The Company reserves the right to control the defense of any matter subject to indemnification, and the customer agrees to cooperate with reasonable requests for information, documentation, and assistance.

24. Force Majeure and Events Outside Company Control

Royal Peptide Labs shall not be liable for delay, nonperformance, interruption, shipment disruption, website outage, inventory shortage, or inability to fulfill obligations caused by events beyond the Company’s reasonable control. Such events may include natural disasters, weather events, fire, flood, epidemic, pandemic, labor disputes, carrier delays, customs delays, supplier disruptions, cyber incidents, payment-processor outages, banking disruptions, governmental actions, regulatory changes, war, terrorism, civil unrest, utility failures, equipment failures, or other force majeure events.

Where a force majeure event affects an order, the Company may delay shipment, cancel the order, issue a refund or credit, substitute shipping methods, adjust fulfillment procedures, or take other reasonable steps consistent with customer service, compliance, and business continuity needs.

25. Governing Law and Dispute Resolution

These Terms and any dispute arising from or relating to the website, products, orders, customer communications, or Company services shall be governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise.

Before initiating formal legal action, the customer agrees to contact Royal Peptide Labs in good faith and provide a reasonable opportunity to investigate and resolve the issue. The customer should provide the order number, contact information, relevant facts, requested resolution, and supporting documentation. This good-faith resolution process is intended to reduce unnecessary disputes, chargebacks, and litigation.

Any legal claim must be brought within the time period allowed by applicable law. Venue and jurisdiction shall be determined by applicable law and any enforceable agreement between the parties. The Company reserves all rights and defenses available under law.

26. Changes to Terms

Royal Peptide Labs may modify, update, supplement, or replace these Terms at any time. Updated Terms become effective when posted on the website or otherwise communicated, unless a later effective date is stated. The customer’s continued use of the website or placement of orders after updated Terms are posted constitutes acceptance of the updated Terms.

The version of the Terms in effect at the time an order is placed generally governs that order, subject to applicable law, customer acknowledgments, and any written agreement signed by authorized Company management.

27. Severability, Waiver, and Entire Agreement

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law. The invalid or unenforceable provision will be interpreted or replaced to accomplish the original purpose as closely as legally permissible.

Failure by Royal Peptide Labs to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights. Any waiver must be in writing and signed by an authorized Company representative.

These Terms, together with the Privacy Policy, checkout acknowledgments, order confirmations, product disclosures, refund policies, shipping policies, and any written agreement signed by authorized Company management, constitute the agreement between the customer and the Company regarding website use and product purchases.

28. Customer Acknowledgment at Checkout

Royal Peptide Labs may require customers to affirmatively acknowledge important terms during checkout, including Research Use Only restrictions, age requirements, no human or animal use, no medical advice, final-sale limitations, shipping policies, refund procedures, and customer responsibility for legal compliance. These acknowledgments are material terms of the purchase.

Customers who do not agree to required acknowledgments should not place an order. The Company may retain records of checkout acknowledgments, timestamps, IP addresses, order details, and policy versions for compliance, fraud prevention, dispute response, underwriting, and legal purposes.
